Confidentiality for uploaded deal documents

This page explains, in plain language, what happens when you upload a document to a buyer deal or listing check on NextPhase. It is a summary, not a contract. The full legal terms are in our Privacy Policy and Terms of Service; if anything here conflicts with those documents, the legal pages control.
1. What happens to a document you upload
- It is stored in a private storage bucket and access-controlled to your account.
- It is not visible to sellers, other buyers, advisors, brokers, or anyone else using the platform.
- It is processed by Anthropic, which does not train its models on data submitted through its API and does not retain it beyond what is required to process the request.
- NextPhase does not train models on your data either.
- It is processed only to extract figures and run the checks shown in your deal report, and for nothing else.
2. What we do not do
- Use your documents to train AI models.
- Use your documents to build benchmarks or market reports.
- Disclose your documents to the business owner, broker, or any third party outside named subprocessors.
- Use your documents for marketing.
3. Deletion
You can delete a deal and its uploaded documents at any time from the deal detail page. Deletion removes the files and the generated report from your account.
Anything you do not delete is kept while your account is open and for up to 90 days after closure.
4. Your NDA
Documents you upload often come with a confidentiality agreement you signed with the seller, broker, or another party. You are responsible for confirming that agreement allows submission to a service provider for analysis.
NextPhase is not a party to that agreement and cannot advise you on it. If you are unsure, ask the disclosing party or your own counsel before uploading.
